CONSTITUTION OF
THE NORTH 0F ENGLAND BRASS BAND CHAMPIONSHIPS
of the NATIONAL BRASS BAND CHAMPIONSHIPS OF GREAT BRITIAN
EFFECTIVE JANUARY 1st 2008.
DEFINITIONS
1. IN THIS CONSTITUTION the expressions listed shall have the following meanings:
"NORTH OF ENGLAND BRASS BAND CHAMPIONSHIPS" means the regional
Qualifying Event of the National Brass Band Championships of Great Britian.
Hereon referred to as NoEBBC.
"NATIONAL CHAMPIONSHIPS" means the National Brass Band Championships of
Great Britian in which Kapitol Promotions Ltd own the title.
"REGIONAL CHAMPIONSHIPS" means the Regional Qualifying Contest managed annually by the NoEBBC.
"COMMITTEE" means the NoEBBC Committee elected to organise the Regional
Championships in any particular year.
"NATIONAL RULES" menas the current Rules of the National Championships of Great
Britian owned by Kapitol Promotions Ltd.
"KAPITOL PROMOTIONS" means Kapitol promotions Ltd whose registered office is at
P.O Box 53, PENARTH, CF64 5XY.
OBJECTIVE
2(a) TO ORGANISE Regional Championships in accordance with the National Rules from
which bands qualifying in accordance with the limits as set out by the National Championships
and shall be notified within seven (7) days of the event to the managers of the National Finals.
2(b) THE COMMITTEE shall be empowered to buy sell or exchange any property of
whatsoever nature necessary in order to carry out the above objective. All property shall be
vested in the members of the committee and the committee shall be enabled to own
property of whatsoever nature as required in order to fulfil its objective.
2(c) DISSOLUTION
In the event of, the trustees shall receive all properties belonging to the committee and
shall discharge any outstanding debts by disposal of so much of the property as shall be
necessary for this purpose. If after the discharge of all the debts there remains any property or
money belonging to the committee, such property or money shall be held by the trustees for a
period of ONE YEAR from the date of the dissolution of the NoEBBC. After the expiration of
one year the trustees in office at the date of the dissolution shall disperse the Remaining assets
equally amongst the bands on the NoEBBC Grading Register at the time of the last
Championships. No other person(s) or body (ies) shall have claim on the forenamed assets. "
ADMINISTRATION
3(a) THE ADMINISTRATION of the Committee's affairs shall be delegated to a General
Committee which shall be appointed by the Constituent Brass Band Associations within the
boundaries of the NoEBBC as defined in the National Rules.
3(b) THE GENERAL COMMITTEE shall consist of
i. Chairman
ii Regional Secretary
iii Treasurer
iv Minute Secretary
v Registrar
vi Property Steward
vii Three (3) Trustees who shall be the Chairman, The Regional Secretary
and the Treasurer who hold the office.
viii Auditor appointed by the General Committee
ix Representatives of the Constituent Associations and the bands not
included in 3b (i) to (iii) inclusive.
3(c) ELECTION OF REPRESENTATIVES.
Each Association within the boundaries of the NoEBBC shall select two (2)
representatives where up to twenty (20) bands are on the current Grading Register. Where
the number of bands exceeds twenty (20), one (1) additional representative shall be
appointed for each ten (10) bands or part thereof.
3(d) ANY PERSON may be co-opted by the Committee at any time to serve on the
Committee for any length of time required in order to provide any specialised
knowledge or skill as may be required and any such person may be appointed to any
office and so considered as a full committee mamber.
3(e) ANY VACANCY which may arise shall be filled by an appointed replacement from
the appropriate members association.
3(f) NO MEMBER or members of the Committee shall be held personally responsible either
singularly or jointly for:
(i) Any debt incurred on behalf of or by the Committee.
(ii) Any legal liability either civil or criminal incurred by any other member of the
Committee and/or Committee as a whole.
MEMBERSHIP
4(a) THE COMMITTEE shall have the right to expel any member for misconduct,
prolonged non-attendance without good cause, or breach of this Constitution.
4(b) NO MEMBERS shall hold claim to any of the Committee's property and
on leaving membership must return all such property to the Committee.
Such property shall be carefully treated at all times and any deficiency or
willful damage be made good by the leaving member.
5(a) THE ANNUAL GENERAL MEETING shall be held in October. All
member bands on the North of England Championship Grading Register
and Constituent associations shall receive twenty eight (28) days prior
notice. The business of the meeting will be:
(i) Confirm the minutes of the previous Annual General Meeting.
(ii) To receive the Regional Secretary's report of the previous year.
(iii) To receive the Treasurer's Report and statement of accounts.
(iv) To receive nominations from the constituent Associations to serve on
the Committee.
(v) To co-opt members as required in accordance with 3(d).
(vi) At the first convened Committee Meeting, the elected Committee will
appoint the Chairman, Regional Secretary and Treasurer for the
ensuing year. The offices of General Secretary and Treasurer which,
in the interests of continuity, will be appointed by the Committee for a
period of two years.
(vii) To receive comments from Constituent Associations and Band
Representatives relevant to the previous years activities of the NoEBBC.
5(b) EXTRAORDINARY GENERAL MEETINGS may be called by either the General
Committee at its discretion, or at the written request of TEN (10) bands who entered
the preceding Regional Championships. At such meetings the point(s) only for which
the meeting has been called may be discussed.
5(c) GENERAL COMMITTEE MEETINGS may be held on the first Monday of each
month October to June inclusive (Subject to Bank Holidays) at a venue convenient to
members. Subcommittees may be formed for specific purposes, such as sub-committees
recommendations must be sanctioned by the General Committee.
5(d) A Quorum at a General Committee Meeting shall be five (5) Committee members.
A Quorum at Annual General Meetings and Extraordinary General Meetings shall
be six(6) Committee Members together with ten of the bands who entered the
preceding Regional Championships.
5(e) Voting at any meeting shall be by a show of hands unless a majority require a secret
ballot duly proposed, seconded and voted upon.
5(f) THE PROCEEDINGS at the meetings shall be duly recorded by the Minute
Secretary and such minutes shall be agreed as correct at the next appropriate
meeting and be duly signed by the Chairman. In the absence of the Chairman at any
meeting a Committee member will be nominated to take the chair.
FINANCE
6(a) ALL INCOME shall be deposited in a current account in the name of the Committee
from which all running costs of whatsoever nature will be paid in fulfilling the
objective including any out of pocket expenses incurred by members on behalf of
and as agreed by the Committee.
6(b) PROVISION may also be made for the opening of any deposit or savings account of
whatever nature the Committee at its discretion, sees fit.
6(c) SIGNATORIES to all cheques and all matters relating to Bank Accounts shall be
any two (2) from: Treasurer, Chairman and Regional Secretary.
6(d) THE FINANCIAL YEAR shall be the 1st. July to the 30th. June inclusive.
6(e) ALL RELEVANT ACCOUNTS shall be audited at the conclusion of the financial
year by the appointed auditor and he/she shall have access to all aspects of the
Committee's financial affairs.
TROPHIES
7 Any trophies that the Committee do now or at any time possess shall be the
responsibility of the Committee and under their sole control. A band winning a
Committee trophy must give an undertaking signed by an official of the band to
keep the trophy in question in good condition, insured against fire, damage or loss
and returned to the Property Steward when requested upon instruction from the
Committee.
GENERAL
8(a) ANY AMENDMENTS additions and/or deletions to this Constitution may only be carried
out at the Annual and/or Extraordinary General Meeting for which purpose such proposals must
be submitted to the Regional Secretary no later that thirty(30) days before that said meeting for
inclusion on the relevant Agenda.
8(b) NOMINATIONS for membership of the General Committee shall be at the Annual General
Meeting as defined in paragraphs 3(a), 3(b) and 3(c).
8(c) EACH MEMBER ASSOCIATION shall be required to submit a full list of their member
bands, secretaries names and addresses to the Regional Secretary to be received within twenty
eight(28) days of the NoEBBC Annual General Meeting.
8(d) FOR CONTESTING purposes the Committee shall adopt the National Rules of the National
Brass Band Championships of Great Britain in their most recent form.
8(e) FOR REGISTRATION purposes the Committee shall adopt the most recent Rules of the
British Brass Band Registry or any alternative body duly authorised.
8(f) FOR GRADING purposes the Committee will adopt the Grading Rules as set out in the
National Rules in their most recent form.
8(g) ANY BAND shall have the right of Appeal to the Committee on any matter concerning the
NoEBBC.
8(h) ANY COMPLAINING band shall be invited to attend any Committee meeting for the
purpose of resolving the complaint.
8(i) THE DECISION of the Committee on all matters shall be final except as provided for in the
National Rules.
8(j) ALL BANDS on the NoEBBC Grading Register will be provided with a copy of this
Constitution.
